1. About Us

This website and services are operated by **2AM Co** (“we”, “us”, “our”). 

 By accessing this website or engaging our services, you agree to these Terms & Conditions.

2. Services

We provide design, manufacturing, fabrication, print production, project management, logistics, installation, and related services for retail, exhibition and brand environments.

 All services are subject to a written quote, proposal or scope of works approved by the client in writing.

3. Quotes & Variations

  • Quotes are valid for 14 days unless otherwise stated.
  • All pricing is exclusive of GST unless specified.
  • Pricing is based on the agreed scope, quantities, materials, freight assumptions, and timelines.
  • Any variation to scope, materials, finishes, artwork, quantities, site conditions or delivery requirements may result in additional charges.
  • Variations must be approved in writing before proceeding.

4. Payment Terms

Unless otherwise agreed in writing:

  • 50% deposit is required to commence work.
  • Balance payment is required prior to dispatch, delivery or installation.
  • Late payments may incur interest at 2% per month plus recovery costs.
  • We reserve the right to suspend works if payments are overdue.

5. Retention of Title

Ownership of goods remains with 2AM Co until full payment is received.

We reserve the right to enter premises to recover unpaid goods where legally permitted.

7. Production Timeframes

  • All production and delivery timeframes are estimates only.
  • Delays caused by suppliers, freight providers, venue restrictions, weather, industrial action, customs or other factors outside our control do not constitute breach.
  • We will use reasonable efforts to meet agreed timelines but do not guarantee fixed completion dates unless expressly agreed in writing.

8. Freight & Risk Transfer

Risk in goods transfers to the client at the earlier of:

  • Dispatch from our facility, or
  • Collection by the client or their nominated carrier.

Where we arrange freight, risk transfers upon handover to the carrier.

Clients must inspect goods immediately upon delivery and notify us of damage within 48 hours.

9. Storage Fees

If goods are completed and:

  • The client delays collection or delivery beyond agreed timelines, or
  • Installation cannot proceed due to site readiness or access issues,

We reserve the right to charge storage fees at commercial rates from the completion date until dispatch or installation.

10. Warranty

We provide a 12-month workmanship warranty from the date of delivery or installation.

This warranty covers defects in workmanship under normal commercial use.

This warranty does not cover:

  • Normal wear and tear
  • Damage caused by misuse, modification, improper installation by third parties
  • Environmental exposure beyond intended use
  • Client-supplied materials or artwork
  • Consumables (print, lighting, electrical components unless manufacturer warranty applies)

Our liability under warranty is limited to repair, replacement, or credit at our discretion.

11. Intellectual Property

  • All concepts, designs, drawings and documentation remain our intellectual property until full payment is received.
  • We retain the right to photograph and use completed projects for marketing unless agreed otherwise in writing.
  • Clients warrant they hold rights to all brand assets supplied to us.

12. Limitation of Liability

To the maximum extent permitted by law:

  • Our liability is limited to the value of goods or services supplied.
  • We are not liable for indirect, incidental, consequential or loss-of-profit damages.
  • Australian Consumer Law rights are not excluded.

13. Cancellations

  • Deposits are non-refundable once work has commenced.
  • If production has started, all costs incurred to date plus committed supplier costs are payable.

14. Force Majeure

We are not liable for failure or delay in performing obligations due to events beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Supplier failure
  • Freight disruption
  • Industrial action
  • Government restrictions
  • Venue or site access issues

Time for performance will be extended accordingly.

15. Website Use

  • Website content is for general information only.
  • We do not guarantee uninterrupted access.
  • Content may not be reproduced without permission.

16. Governing Law

  • These Terms are governed by the laws of Victoria, Australia.
